Terms of Service

1. Agreement to Terms

By accessing or using LuxeSeat's event seating management platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including event hosts and their guests.

2. Description of Service

LuxeSeat provides an online platform for event seating management, allowing event hosts to create guest lists, assign tables, upload floor layouts, and share event pages with guests. Guests can access published event pages to find their table assignments without creating an account.

3. Account Registration

To use certain features of the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that provide false or misleading information.

4. Subscription Plans and Payment

Single Event Plan

The Single Event plan is a one-time payment of $299 that provides access to create one event with unlimited guests. Access is valid for 30 days from the date of purchase or until your event date, whichever is later.

Professional Plan

The Professional plan is a monthly subscription at $999/month that provides unlimited events and guests, along with additional features such as white-label branding and API access.

Payment Terms

• All fees are quoted and payable in US dollars
• Subscription fees are billed in advance on a monthly basis
• You authorize us to charge your payment method on file
• All fees are non-refundable except as expressly stated in these Terms

5. Cancellation and Refunds

Professional Plan: You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. No refunds will be provided for partial months.

Single Event Plan: Refunds may be requested within 7 days of purchase if you have not published your event. Once an event is published, no refunds will be provided.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Upload or transmit viruses, malware, or other malicious code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service or servers
• Harvest or collect user data without consent
• Use the Service for any fraudulent or deceptive purpose
• Upload content that is offensive, harmful, or inappropriate

7. User Content

You retain ownership of any content you upload to the Service, including guest lists, floor layouts, and event details ("User Content"). By uploading User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and display your content solely for the purpose of providing the Service.

You are solely responsible for ensuring that your User Content does not violate any third-party rights or applicable laws. You represent that you have all necessary rights and permissions to upload and share your User Content.

8. Guest Data Responsibility

As an event host, you are responsible for:

• Obtaining necessary consent from guests before uploading their personal information
• Ensuring the accuracy of guest information
• Complying with applicable data protection laws in your jurisdiction
• Informing guests that their seating information will be accessible on the published event page

9. Intellectual Property

The Service and its original content, features, and functionality are owned by LuxeSeat and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our prior written consent.

10. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may suspend or terminate the Service temporarily for maintenance, updates, or other operational reasons. We will make reasonable efforts to provide advance notice of planned downtime when possible.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUXESEAT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, or other harmful code transmitted through the Service
• Any errors or omissions in any content

Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

13. Indemnification

You agree to defend, indemnify, and hold harmless LuxeSeat and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising out of or related to your use of the Service, your User Content, or your violation of these Terms.

14. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately. All provisions of these Terms that by their nature should survive termination shall survive.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in Delaware.

16. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

17. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
